These Terms of Service ("Terms") govern your access to and use of the Grunlo platform, website, and related services (collectively, the "Service") operated by Grunlo LLC ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you ("you," "your," or "Customer") agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2. Automation and AI Disclaimer
The Service may include automated features, algorithms, or AI-driven functionality that generate recommendations, routing decisions, communications, or other outputs.
You acknowledge that:
- Such outputs may be inaccurate, incomplete, or inappropriate for your specific business needs
- You are solely responsible for reviewing and approving any actions taken based on these outputs
- The Company makes no guarantees regarding the accuracy, reliability, or effectiveness of any automated or AI-generated output
The Company shall not be liable for any damages, losses, or business impacts resulting from reliance on such outputs.
3. No Professional Advice
The Service and all content, outputs, and information provided through the Service are for general informational purposes only and do not constitute professional advice of any kind, including but not limited to legal, tax, financial, accounting, or compliance advice.
You should consult qualified professionals before making business decisions based on any information provided by the Service. The Company is not responsible for any decisions made or actions taken in reliance on information provided through the Service.
4. Features and Modifications
All features of the Service are provided "as-is" and may be modified, updated, or discontinued at any time, with or without notice. The Company is under no obligation to maintain, support, or continue offering any particular feature or functionality.
5. Account Registration and Security
To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring that all users you invite to your account comply with these Terms
- Promptly notifying us of any unauthorized use of your account
As the account owner (tenant administrator), you are responsible for the actions of all staff members, field technicians, and other users you add to your account.
6. Subscription Plans and Billing
Plans and pricing. The Service is offered under various subscription plans with different features and pricing. Current plan details are available on our pricing page. We reserve the right to modify plans and pricing with reasonable advance notice.
Free trial. We may offer a free trial period during which you have access to the full platform. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Unused trial periods cannot be extended or transferred.
Payment processing. Payments are processed through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's Terms of Service. We do not directly store your credit card or payment card numbers.
Billing cycle. Subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew at the end of each billing period unless cancelled.
Plan changes. You may upgrade or downgrade your plan at any time through the Stripe Customer Portal accessible from your account settings. Upgrades take effect immediately; downgrades take effect at the end of your current billing period. When you downgrade, features not included in your new plan will become unavailable.
Cancellation. You may cancel your subscription at any time through the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. Voluntary cancellations do not qualify for refunds of any kind, including prorated refunds for partial billing periods.
Service availability. We use commercially reasonable efforts to maintain the availability of the Service at least 99.5% of each calendar month ("Uptime Commitment"). "Downtime" means a period during which the core application is completely inaccessible to all customers due to an issue within our reasonable control. Downtime does not include: (a) scheduled maintenance for which we provide at least 24 hours' advance notice, (b) outages caused by third-party services, internet infrastructure, or domain-name systems outside our control, (c) force majeure events, or (d) issues resulting from your equipment, software, or network connections.
No liability for interruptions. We are not liable for any losses, damages, or costs resulting from service interruptions or downtime, including but not limited to missed appointments, lost revenue, business disruption, or any other consequential damages, regardless of the cause or duration of the interruption.
Refund policy. If the Service fails to meet the Uptime Commitment in a given calendar month, you may request a refund by contacting us within thirty (30) days after the end of the affected month. Eligible refunds are limited to fifty percent (50%) of the pro-rata value of the remaining prepaid subscription time on your account at the time of the request. Only one refund may be issued per qualifying month in which the Uptime Commitment was not met. Refunds are not available for voluntary cancellations, plan downgrades, feature dissatisfaction, or any reason other than our failure to meet the Uptime Commitment. We will process approved refunds to your original payment method within a reasonable timeframe.
7. SMS and Voice Communications
The Service includes optional SMS (text messaging) and voice communication features powered by Telnyx LLC ("Telnyx"). If you enable or use these features, the following terms apply. By enabling or using any messaging or voice feature of the Service, you also agree to our Messaging Acceptable Use Policy, which is incorporated into these Terms by reference.
7.1 Your responsibilities. You are solely responsible for:
- Obtaining prior express written consent (as defined by the TCPA, 47 U.S.C. § 227) from your customers and any recipients before sending them marketing or promotional SMS messages or initiating telemarketing voice calls through the Service, and obtaining prior express consent before sending informational or transactional messages
- Maintaining records of consent obtained from each recipient, including the date, time, method of consent, and the specific language presented, for a minimum of five (5) years or such longer period as required by law
- Producing consent records to the Company within five (5) business days of any request by the Company, a regulatory body, a carrier, or Telnyx
- Honoring all opt-out requests immediately and maintaining an internal do-not-contact list
- Scrubbing your contact lists against the National Do-Not-Call (DNC) Registry and any applicable state do-not-call lists before initiating outbound communications
- Ensuring message content complies with all applicable laws, regulations, and carrier content policies
- Identifying your business name in every outbound message
- Complying with all applicable federal, state, and local telecommunications laws and regulations, including but not limited to the TCPA, state mini-TCPA statutes (such as the Florida Telephone Solicitation Act, Oklahoma Telephone Solicitation Act, and similar state laws), the CAN-SPAM Act, CTIA Messaging Principles and Best Practices, FCC rules and orders, and any future telecommunications regulations
7.2 Full assumption of liability. YOU ASSUME FULL AND SOLE RESPONSIBILITY FOR ANY AND ALL FINES, PENALTIES, REGULATORY ACTIONS, LAWSUITS (INCLUDING CLASS-ACTION LAWSUITS), SETTLEMENTS, DAMAGES, JUDGMENTS, AND LEGAL FEES ARISING FROM OR RELATED TO SMS MESSAGES, VOICE CALLS, OR OTHER COMMUNICATIONS SENT THROUGH THE SERVICE BY YOU OR ANY USER ON YOUR ACCOUNT. THIS INCLUDES, WITHOUT LIMITATION, CLAIMS UNDER THE TCPA (INCLUDING STATUTORY DAMAGES OF UP TO $1,500 PER VIOLATION), STATE MINI-TCPA STATUTES, THE CAN-SPAM ACT, CTIA GUIDELINES, FCC REGULATIONS, CARRIER POLICIES, AND ANY OTHER APPLICABLE LAW OR REGULATION.
The Company provides the Service as a technology platform only. The Company does not send messages on your behalf, does not select recipients, does not compose message content, and does not determine when or whether messages are sent. All messaging decisions are made by you. The Company has no obligation to monitor your use of the messaging features for compliance, and any compliance tools or features provided (such as opt-out handling or consent tracking) are provided as a convenience and do not shift your compliance obligations to the Company.
7.3 Right to pass through fines and penalties. If the Company receives any fine, penalty, regulatory assessment, carrier surcharge, or other financial liability as a result of your messaging or calling practices, you agree that such amounts will be immediately due and payable by you. The Company may, in its sole discretion, charge any such amounts to your payment method on file, deduct them from any amounts owed to you, or invoice you separately. You agree to pay such amounts within ten (10) business days of demand.
7.4 Right to suspend or terminate messaging. The Company reserves the right, in its sole discretion and without prior notice, to immediately suspend or permanently disable your access to SMS and voice features if:
- The Company receives any complaint, carrier notice, Telnyx notification, or regulatory inquiry related to your messaging or calling practices
- The Company reasonably believes that your use of the messaging features violates or may violate any law, regulation, carrier policy, or these Terms
- Your message traffic patterns suggest non-compliant usage (e.g., unusually high opt-out rates, spam reports, or carrier blocks)
Such suspension or termination of messaging features shall not affect your obligation to continue paying subscription fees or your obligations under these Terms, including indemnification.
7.5 Cooperation with investigations. You agree to fully cooperate with any investigation by a regulatory body, carrier, Telnyx, or the Company relating to your use of the messaging or voice features. Cooperation includes, without limitation, promptly providing consent records, message logs, recipient lists, and any other information requested. Failure to cooperate constitutes a material breach of these Terms.
7.6 Message details. Message frequency varies based on your account configuration and business activity (e.g., appointment reminders, job notifications, missed call text-backs). Standard message and data rates may apply to recipients. Recipients can opt out at any time by replying STOP to any message. Recipients can request help by replying HELP.
7.7 Prohibited uses. You must not use the SMS and voice features to:
- Send unsolicited commercial messages (spam) or messages to any person who has not provided valid consent
- Send messages to numbers on the National Do-Not-Call Registry or state do-not-call lists without proper prior express written consent
- Send content that is illegal, deceptive, fraudulent, threatening, abusive, harassing, or harmful
- Send content related to illegal substances, phishing, or deceptive marketing
- Violate any carrier policies, Telnyx's Acceptable Use Policy, or telecommunications regulations
- Share, sell, or lease phone numbers provisioned through the Service to third parties
- Use the Service to send messages on behalf of a third party not authorized under your account
7.8 Third-party service. SMS and voice services are delivered through Telnyx. By using these features, you also agree to comply with Telnyx's Acceptable Use Policy. We are not liable for service interruptions, delivery failures, carrier filtering, or other issues related to the Telnyx network or carrier networks.
8. Company Marketing and Advertising
This section applies to how Grunlo LLC promotes the Service to prospective business customers, and is separate from Section 7 (which governs your use of SMS and voice features with your customers).
We may contact businesses about the Service and use business contact information (such as email addresses and phone numbers from public listings, inbound inquiries, or prior outreach) for advertising measurement and custom audiences on platforms such as Google Ads, as described in our Privacy Policy.
8.1 Email domains. Transactional emails (invoices, job updates, account notifications) are sent from mail.grunlo.com. Marketing communications and promotional content are sent from hello.grunlo.com.
If you receive outreach from us, you may opt out of further marketing emails and advertising audience lists using the unsubscribe link in our emails or by contacting us at the address in Section 22. We honor opt-out requests promptly.
9. Third-Party Tax Calculation Fees
The Service offers an optional automated sales-tax calculation feature powered by Stripe Tax, a product of Stripe, Inc. ("Stripe Tax"). If you enable Stripe Tax from your account settings, the following terms apply:
- Stripe billing, not ours. Stripe charges a per-transaction fee for every tax calculation performed on your behalf. These fees are billed by Stripe directly to your connected Stripe account, are separate from your subscription fees to us, and are subject to change by Stripe at any time (see Stripe Tax pricing).
- Agency only. We calculate and display the tax amounts returned by Stripe Tax but do not collect, remit, or otherwise handle sales or use tax. You remain the merchant of record and are solely responsible for collecting, reporting, and remitting all taxes owed in every jurisdiction in which you do business.
- Accuracy. Stripe Tax calculations are provided on an "as-is" basis by Stripe and depend on the address, product tax codes, and other information you configure. We make no representation or warranty as to the accuracy, completeness, or tax-compliance consequences of any calculation. You are responsible for reviewing calculations before relying on them.
- Fallback behavior. If Stripe Tax is unavailable when a document is drafted, we will compute a flat-rate amount using the default rate you configure so that your workflow is not blocked. You are responsible for reviewing any document calculated using the fallback before sending it.
- Disabling the feature. You can return to flat-rate calculation at any time from **Settings → Sales Tax**. Disabling Stripe Tax stops new Stripe Tax fees; it does not affect documents already calculated.
If you do not use Stripe Tax, only the flat-rate calculation we provide is used, and no additional third-party tax fees are incurred.
10. Documents Generated Through the Service
The Service provides tools and templates for creating business documents, including estimates, invoices, service contracts, and related terms and conditions. These tools are provided as starting points and convenience features. They are not legal instruments prepared by the Company, and no document generated through the Service has been reviewed or approved by the Company or its legal counsel.
You are solely responsible for the content, accuracy, enforceability, and legal compliance of any document you create, send, or execute through the Service, including service contracts, estimates, invoices, and any terms and conditions included therein.
Auto-generated templates, AI-generated terms and conditions, and AI contract reviews are convenience tools only and do not constitute legal review, legal drafting, or legal advice of any kind. The Company makes no representation or warranty that any template, generated text, AI review output, or suggested language is legally enforceable, complete, appropriate for your jurisdiction, or suitable for your specific business circumstances.
You should have your own legal counsel review any contract templates or terms and conditions before using them with your customers.
The Company is not a party to any agreement between you and your customers. Any dispute arising from a service contract, estimate, invoice, or other document you create or send through the Service is solely between you and your customer. The Company has no obligation to enforce, mediate, or otherwise involve itself in any such dispute.
11. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right
- Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Upload or transmit viruses, malware, or any other malicious code
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service to send spam or unsolicited commercial communications of any kind
- Use the Service in any manner that could damage, disable, overburden, or impair the Service
We reserve the right to suspend or terminate your access to the Service at any time if we determine, in our sole discretion, that you have violated these Terms.
12. Usage Limits and Fair Use
Each subscription plan includes usage allowances for certain features, including but not limited to:
- Outbound SMS messages per day
- AI-powered analysis and content generation requests per day
- Property intelligence analyses per day
- Campaign recipients per send
- Staff user accounts
Current usage allowances for each plan are documented in our Help Center and may be displayed within the Service. These allowances are subject to change at any time. We will make reasonable efforts to notify you of material reductions to your plan's allowances.
When a usage limit is reached, the associated feature will be temporarily unavailable until the limit resets (for daily limits, the following calendar day in UTC) or until you upgrade to a plan with higher allowances. Reaching a usage limit does not entitle you to a refund or credit.
We may, in our sole discretion, grant temporary or permanent increases to individual usage limits for your account. Such increases do not modify your plan's standard allowances and may be revoked at any time.
You agree not to circumvent, bypass, or attempt to defeat any usage limit through technical means, including but not limited to creating multiple accounts, rotating API credentials, or automating actions designed to reset or evade limits.
13. Your Data
You retain ownership of all data you submit to the Service ("Your Data"), including customer records, job details, invoices, messages, and files. We do not claim any ownership rights over Your Data.
You grant us a limited license to use, process, and store Your Data solely to provide, maintain, and improve the Service. Our use of Your Data is further governed by our Privacy Policy.
You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.
We do not use Your Data to train generalized machine learning models for use outside your account, unless explicitly disclosed and agreed to. Any machine learning or analytical processing applied to Your Data is used solely to provide and improve the Service within your account.
14. Intellectual Property
The Service, including its design, features, code, documentation, and all related intellectual property, is and remains the exclusive property of the Company. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
17. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, fines, penalties, regulatory assessments, costs, and expenses (including reasonable attorneys' fees and expert witness fees) arising from or related to:
- Your use of the Service, including the actions of any user you authorize on your account
- Your violation of these Terms, the Messaging Acceptable Use Policy, or any policy incorporated by reference
- Your violation of any applicable law, regulation, or third-party right, including but not limited to the TCPA, state mini-TCPA statutes, the CAN-SPAM Act, FCC rules and orders, CTIA guidelines, and carrier policies
- Any claim by a third party (including class actions) related to SMS messages, voice calls, or other communications you send or cause to be sent through the Service
- Any regulatory investigation, FCC enforcement action, state attorney general inquiry, or carrier enforcement action related to your messaging or calling practices
- Any fine, penalty, or assessment imposed on the Company or its telecommunications providers (including Telnyx) as a result of your use of the messaging or voice features
- Your failure to obtain, maintain, or produce valid records of consent from message or call recipients
- Any claim by your customers or third parties arising from estimates, invoices, service contracts, or other documents you create or send through the Service
- Any data breach, data misuse, or privacy violation caused by your use of the Service or your handling of customer data
Control of defense. The Company may, at its option and at your expense, assume exclusive control of the defense and settlement of any claim subject to indemnification. You agree not to settle any claim without the Company's prior written consent. If the Company elects not to assume control, you shall not agree to any settlement that imposes obligations on the Company or admits fault on behalf of the Company without the Company's prior written consent.
Duty to cooperate. You agree to reasonably cooperate with the Indemnified Parties in the defense of any claim, including providing information, documents, and testimony as requested.
Survival. This indemnification obligation survives the termination or expiration of these Terms, your account, and your use of the Service, and applies regardless of whether the claim arose during or after the term of your use of the Service.
18. Termination
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing to use the Service. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.
Upon termination, your right to use the Service ceases immediately. We may retain Your Data for a reasonable period to allow you to export it. After that period, we may delete Your Data in accordance with our data retention practices.
19. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict-of-law provisions.
Binding arbitration. Any disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted in King County, Washington. The arbitration shall be conducted by a single arbitrator in accordance with the applicable rules of the arbitration forum. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against the Company. All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
No litigation. You agree that any dispute arising under these Terms shall be resolved exclusively through binding arbitration as described above, and you waive any right to bring claims in any court of law, except as may be required by applicable law to enforce an arbitration award.
Small claims exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within its jurisdictional limits.
21. General Provisions
Entire agreement. These Terms, together with our Privacy Policy and Messaging Acceptable Use Policy, constitute the entire agreement between you and the Company regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
